Job Description

Overview

  • Support the Financial Institutions Group by performing tasks related to transactions, presentations, business information, and client communications.
  • Collaborate with attorneys and clients on all phases of corporate transactions, ensuring confidentiality and professionalism.
  • Prepare and file regulatory applications with state and federal banking agencies, ensuring compliance with legal standards.
  • Conduct legal and regulatory research, providing valuable insights to attorneys and supporting decision-making processes.
  • Perform antitrust market share analysis for bank mergers and acquisitions, contributing to strategic planning.
  • Retrieve forms from relevant government agencies, ensuring accurate and timely documentation.
  • Support departmental initiatives and special projects, enhancing operational efficiency and effectiveness.

Key Responsibilities & Duties

  • Collaborate with attorneys and clients during due diligence, negotiations, and transaction closings.
  • Compile data points for bank applications, working with internal economists on competitive analyses.
  • Draft regulatory applications for submission to banking agencies, ensuring compliance and accuracy.
  • Conduct legal research to support attorneys in regulatory and transactional matters.
  • Perform antitrust market share analysis for financial institution mergers and acquisitions.
  • Retrieve and manage forms from federal and state banking agencies.
  • Assist in preparing and filing applications with relevant government agencies.
  • Contribute to departmental projects and initiatives, enhancing team productivity and outcomes.

Job Requirements

  • Bachelor’s degree required, preferably in a related field.
  • Minimum of five years of experience in a transactional law practice, with exposure to financial institutions preferred.
  • Strong organizational skills and attention to detail, ensuring high-quality work output.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Flexibility to work extended hours as needed, including evenings and weekends.
  • Excellent written and verbal communication skills for effective collaboration and documentation.
  • Proficiency in legal research and regulatory compliance processes.
