Overview
- Support the legal team with corporate governance, entity management, and record maintenance.
- Ensure compliance with state filings and annual reports through corporate service agents.
- Prepare and manage corporate filings, including entity formations and dissolutions.
- Assist with IRS submissions and obtain EINs for organizational purposes.
- Maintain accurate corporate records and organizational documents.
- Draft organizational documents such as operating agreements, amendments, and corporate resolutions.
- Support corporate transactions, including document execution and compliance tracking.
- Collaborate with teams to ensure adherence to statutory housing and legal requirements.
Key Responsibilities & Duties
- Manage corporate entity platforms and coordinate with service agents for legal compliance.
- Prepare and file corporate documents, including formations, dissolutions, and amendments.
- Assist with obtaining EINs and submitting basic IRS forms.
- Maintain and organize corporate records and documentation.
- Draft corporate resolutions, minutes, and officer certificates.
- Support real estate transactions and closings with necessary filings and documentation.
- Track and manage compliance with statutory housing and legal requirements.
- Collaborate with teams to ensure smooth execution of legal processes.
Job Requirements
- Bachelor's degree in a relevant field is required.
- Minimum of 10 years of corporate paralegal experience in law firms or in-house legal departments.
- Strong organizational skills and ability to manage complex entity structures.
- Excellent written and verbal communication skills.
- Ability to work independently and manage multiple projects in a fast-paced environment.
- Preferred Registered Paralegal (RP) certification.
- Experience with corporate governance and entity management.
- Strong interpersonal skills and adaptability to different audiences.
