Job Description

Corporate Paralegal Overview

  • The Corporate Paralegal will support attorneys in corporate governance, regulatory filings, and compliance for a global asset management organization.
  • Assist with board and committee meetings, including preparation, attendance, and managing day-of support for directors and senior management.
  • Prepare, draft, and review SEC filings, corporate reports, and NYSE correspondence to ensure regulatory compliance.
  • Support earnings releases and conference calls, providing in-person assistance during related events.
  • Maintain corporate records, minute books, and legal entity documentation for domestic and international affiliates.
  • Administer corporate compliance policies and contribute to strategic transactions and reorganizations.
  • Collaborate with internal teams and external partners to ensure seamless execution of corporate initiatives.
  • Work in a hybrid environment, reporting to the office four days per week with one remote workday.

Corporate Paralegal Key Responsibilities & Duties

  • Support corporate attorneys with public company reporting and governance matters for domestic and international affiliates.
  • Coordinate and prepare materials for board and committee meetings, ensuring timely distribution and accuracy.
  • Draft and review SEC filings, corporate reports, and compliance documents to meet regulatory standards.
  • Provide assistance during earnings releases and conference calls, managing logistical and in-person support.
  • Maintain and update corporate records, organizational charts, and subsidiary information.
  • Administer compliance policies and support strategic transactions, including securities offerings and reorganizations.
  • Collaborate with internal teams and external service providers to ensure smooth operations and compliance.
  • Assist with contract reviews, including vendor agreements and non-disclosure agreements.

Corporate Paralegal Job Requirements

  • Bachelor’s Degree in a relevant field is required.
  • 1 to 3 years of experience in corporate governance, regulatory filings, or legal support.
  • Proficiency in Microsoft Office Suite and ability to learn new databases/programs.
  • Strong attention to detail, analytical skills, and ability to manage multiple assignments.
  • Excellent interpersonal skills to interact with directors, executive management, and international partners.
  • Commitment to teamwork, professional growth, and fostering an inclusive culture.
  • Ability to comply with hybrid work policies, including reporting to the office four days per week.
