Job Description

Position Summary

The Paralegal will support attorneys and other paralegals in all corporate transactions. This includes preparing basic corporate documents, retrieving, reviewing, and distributing documents related to corporate transactions. The role requires maintaining confidentiality of client matters and keeping accurate time records.

Corporate Responsibilities

  • Adhere to the ethical requirements set forth by the Rules of Professional Conduct of the State.
  • Draft basic incorporation/formation documents, amendments, and foreign registration documents for Corporations, LLCs, LPs, and LLPs.
  • Draft basic dissolution and withdrawal filings for Corporations, LLCs, LPs, and LLPs.
  • Conduct UCC searches, analyze search results, and prepare UCC search results charts.
  • Prepare UCC-1 and UCC-3 financing statements, including exhibits.
  • Draft and file annual reports in all states.
  • Save Commitment Letters, Subscription Agreements, Side Letters, and Dual Commitments to iManage.
  • Compile execution versions of necessary agreements ahead of closing dates.
  • Prepare stock certificates.
  • Assist with due diligence review.
  • Organize and mail IRS 83(b) Elections.
  • Prepare SS4 Applications and apply to the IRS for Employer Identification Numbers.
  • Prepare closing indexes and closing binders, including digital and hard copies, and distribute them to interested parties.
  • Conduct state research to determine the corporate status of companies.
  • Work with external corporate vendors to handle attorney and client requests, including managing, processing, and paying vendor invoices.
  • Proofread, redline, and compare documents, including charts, reports, client letters, etc.
  • Prepare correspondence and external written communication to distribute various corporate documents, certifications, UCC statements, and original collateral.
  • Attend and assist in corporate closings, including compiling and organizing signature packets for execution by parties.
  • Assist with DocuSign of client documents.
  • Provide notary public services, if commissioned.

Basic Qualifications (must be listed on resume to be considered)

  • Bachelor's degree required.
  • Two or more years of Corporate Paralegal experience in a professional environment required.
  • Must live within a commutable distance to the local applicable office.
  • This role will initially require being in the office 5 days per week and will eventually transition to a hybrid role with in-office expectations of 3-4 days per week.

Competencies

  • Proficiency in Microsoft Office Suite, Adobe Acrobat, and Excel.
  • Ability to organize and prioritize numerous tasks and complete them under time constraints.
  • Attention to detail and ability to concentrate when performing duties.
  • Ability to proofread typed material for contextual, grammatical, typographical, or spelling errors.
  • Strong interpersonal skills to communicate effectively in person, by email, and by telephone, and to follow instructions from a diverse group of clients, attorneys, and staff with courtesy and tact.
  • Ability to handle a high level of mental effort and strain while organizing and maintaining multiple cases.
  • Ability to retrieve and distribute print volumes, push and pull packages and books weighing up to 20 pounds, and retrieve and replace objects from shelves up to 8 feet high.
  • Willingness to work more than 35 hours per week occasionally, with little notice, to perform essential duties; may also require irregular hours.
  • Ability to travel to private and public buildings, locally and nationwide, via private or public transportation to assist attorneys in attending to client needs on legal matters.
