Job Description

  •  Oversee the preparation and review of tax returns for the fund’s partnerships and other investment entities, ensuring compliance with federal, state, and international tax regulations.
  • Review and manage the preparation of Schedule K-1s and related investor tax documents, ensuring accurate allocation of income, gains, losses, and credits to partners.
  • Ensure timely filing of all tax compliance reports, including federal, state, and local filings for the fund and related entities.
  • Assist with the tax-efficient structuring of fund vehicles and investment transactions, including the formation of new funds, acquisitions, financings, and dispositions.
  • Analyze and advise on the tax implications of fund investments, including carried interest, UBTI (unrelated business taxable income), and the application of tax treaties.
  • Collaborate with fund managers and legal teams on structuring investment vehicles to optimize tax efficiency and meet regulatory requirements.
  • Provide proactive tax planning advice to ensure the fund’s investment strategies are optimized from a tax perspective.
  • Advise on structuring capital calls, distributions, and fund-level debt arrangements, ensuring compliance with tax regulations and minimizing tax liability for the fund and its investors.
  • Analyze the impact of regulatory changes (e.g., tax reform, international tax laws) and recommend strategies to mitigate risks and optimize returns.
  • Serve as the main point of contact for investor tax-related inquiries, ensuring clarity in tax reporting and distributions.
  • Review investor communication documents (e.g., tax letters, K-1 packages), ensuring accurate reporting of income and capital gains.
  • Provide tax advice and documentation to investors related to fund transactions, carried interest, and other fund-specific matters.
  • Work closely with the legal, accounting, and finance teams to implement tax strategies, ensure compliance, and manage the fund’s tax filings.
  • Partner with external tax advisors, auditors, and consultants as necessary for specialized advice or tax filings.
  • Stay up-to-date on changes to tax laws and regulations that affect private equity funds, particularly in the areas of international tax, partnership taxation, and alternative investment vehicles.
  • Conduct in-depth research on tax issues affecting fund-level transactions, fund formation, carried interest, and cross-border investment structures.

Qualifications: 

  • 5+ years of Partnership Tax, preferably with private equity experience  
  • Strong analytical and problem-solving abilities, with the ability to interpret and apply complex tax regulations.
  • Excellent written and verbal communication skills, with the ability to interact effectively with investors, fund managers, and other internal teams.
