Job Description
Key Responsibilities:
- Coordinate the preparation, execution, and tracking of legal documents related to corporate transactions
- Maintain and organize physical and electronic deal closing rooms and signature page packets
- Draft and maintain entity formation and governance documentation for LLCs, corporations, and partnerships
- Prepare corporate consents, resolutions, and regulatory forms
- Support execution of investment agreement letters, NDAs, and other fund documentation
- Review and revise non-disclosure agreements and support document negotiations
- Submit documentation for domestic and international bank and securities accounts
- Format, edit, redline, and proofread legal documents using advanced Word processing skills
- Monitor and track legal deadlines and follow up with internal and external stakeholders
- Support ad hoc projects and provide general assistance to attorneys as needed
Qualifications:
- Bachelor’s degree required; strong preference for candidates from top-tier academic institutions
- 5–6+ years of relevant paralegal experience in a law firm, investment firm, or financial services environment
- Familiarity with entity management, corporate governance, and closing procedures
- Proven ability to manage sensitive and confidential information with discretion
- Ability to thrive in a deadline-driven, fast-moving, and detail-oriented environment
