Job Description

Responsibilities/Job Duties: 

  • Review, revise and manage a wide variety of legal documents (e.g., investment management agreements, vendor agreements, NDAs, internal agreements) 
  • Maintaining and filing corporate records, including resolutions, board of director changes, annual reports, etc. 
  • Updating company files, preparing legal contracts, reviewing documents, and giving legal assistance 
  • Assist with company corporate compliance issues (such as maintenance of the Compliance software) 
  • Assist with ensuring that the company operates within the legal requirements set forth by local, state, and federal regulations regarding trade, governance, and employee rights 
  • Assist with the preparation and maintenance of corporate governance documents (formation of entities, filing of documents with corporate registry, preparing tax forms, resolutions, etc.) 
  • Assist with corporate closing (preparation of signature page packets, tracking execution status of documents) 
  • Preparing legal documents and case components – such as affidavits, pleadings, appeals, briefs, and closings for attorneys – as well as assisting lawyers with drafting merger and acquisition documents, real estate closings and a variety of contracts 
  • Support the preparation and delivery of materials for the leadership team, manage the document distribution system including coordinating and receiving board and committee signatures for documents and materials 
  • Work with outside vendors on securities reporting systems and document management systems 
  • Coordinate the planning for company meetings, travel, scheduling, agendas, etc. 
  • Be an internal contact point to assist with contract approvals and the management of any contract questions 
  • May attend meetings and prepare minutes 
  • Recommend efficiencies for the Legal team’s internal processes 

Qualifications: 

  • Bachelor's Degree or equivalent work experience and a paralegal degree/certificate 
  • 5+ years of related experience  
  • High degree of professional ethics and integrity 
  • Excellent written & oral communication and project management skills 
  • Self-motivated, ability to work independently under pressure and prioritize multiple projects, and work effectively in a fast-paced, results-oriented environment 
  • Good team player with good interpersonal and communication skills and ability to interact with different levels of people throughout the company 
  • Good networking to leverage resources inside and outside to provide on-time and quality service 
  • Ability and willingness to work across time zones to manage and assist with the effective and timely delivery of legal services 
  • Ability to respond quickly and shift demands as necessary; must be able to work under tight deadlines and handle multiple, detailed tasks 
  • Comfortable with planning, organizing, and carrying out multiple related activities 
  • Excellent judgement, analytical skills and decision making 
  • Proficiency with Excel and PowerPoint software
