Job Description

Overview

  • Play a pivotal role in corporate governance and legal compliance within a dynamic organization.
  • Manage complex entity structures and ensure adherence to regulatory requirements.
  • Collaborate with multidisciplinary teams to support organizational legal needs.
  • Draft and maintain organizational documents, including resolutions and agreements.

  • Ensure accurate record-keeping and documentation for legal processes.

Key Responsibilities & Duties

  • Oversee corporate governance and entity management platforms effectively.
  • Draft and file corporate documents, including formations, amendments, and dissolutions.
  • Assist with obtaining EINs and managing IRS submissions for compliance.
  • Maintain and organize corporate records and documentation meticulously.
  • Support real estate transactions with necessary legal filings and documentation.
  • Ensure compliance with statutory housing and legal requirements.
  • Collaborate with internal teams to streamline legal processes and compliance tracking.
  • Provide guidance on corporate governance best practices and frameworks.

Job Requirements

  • Bachelor's degree in a relevant field is required.
  • Minimum of 10 years of corporate paralegal experience in law firms or in-house legal departments.
  • Strong organizational skills and ability to manage complex entity structures.
  • Excellent written and verbal communication skills.
  • Ability to work independently and manage multiple projects in a fast-paced environment.
  • Preferred Registered Paralegal (RP) certification.
  • Experience with corporate governance and entity management.
  • Strong interpersonal skills and adaptability to different audiences.
