Job Description

Overview

  • Assist attorneys with finance and securitization transactions, ensuring compliance with legal standards and confidentiality requirements.
  • Prepare and manage legal documents, including UCC filings, good standing certificates, and closing binders.
  • Coordinate and organize data rooms, document execution, and distribution processes.
  • Utilize Microsoft Office and AI-enabled productivity tools for document preparation and collaboration.
  • Provide notary public services and manage vendor invoices as needed.
  • Maintain accurate time records and adhere to professional ethical standards.
  • Support attorneys in client communication and external correspondence.
  • Contribute to a collaborative and collegial work environment within the legal team.

Key Responsibilities & Duties

  • Conduct UCC searches, analyze results, and prepare related charts and filings.
  • Compile and manage execution versions of agreements and signature page packets.
  • Prepare SS4 applications, W-9 forms, and manage IRS applications for EINs.
  • Organize and update data rooms and closing deliverables for transactions.
  • Proofread, redline, and compare legal documents for accuracy and compliance.
  • Prepare and distribute closing binders in both digital and hard copy formats.
  • Manage external vendor requests, including processing and payment of invoices.
  • Provide administrative support for attorneys, including document notarization and correspondence.

Job Requirements

  • Bachelor's degree required, preferably in a related field.
  • Minimum of 1 year experience in a legal or professional environment.
  • Proficiency in Microsoft Word, Excel, PowerPoint, Outlook, and AI-enabled productivity tools.
  • Strong organizational skills and ability to manage multiple priorities effectively.
  • Excellent written and verbal communication skills for collaboration and independent work.
  • Commitment to ethical standards and compliance with professional conduct rules.
  • Willingness to work on-site five days per week and travel as required.
  • Ability to work overtime to meet case needs and deadlines.
