Overview
- Provide comprehensive legal counsel and support across regulatory, risk, and compliance matters within the banking sector.
- Focus on managing legal risks while ensuring adherence to applicable laws and regulations to facilitate business growth.
- Collaborate with cross-functional teams to address legal inquiries and support strategic initiatives.
- Engage in corporate governance activities, including drafting resolutions, minutes, and regulatory filings.
- Assist in monitoring regulatory changes and their impact on banking operations and compliance.
- Provide legal support for disputes, complaints, litigation management, and discovery efforts.
- Conduct legal research and provide timely advice on various legal matters.
- Work closely with the General Counsel and Corporate Secretary to achieve organizational goals.
Key Responsibilities & Duties
- Draft, review, and negotiate agreements, including NDAs, vendor contracts, and product terms.
- Assist in responding to subpoenas, court orders, and other legal documents.
- Support banking and lending teams with legal inquiries and day-to-day operations.
- Compile board materials and assist with resolutions, minutes, and corporate filings.
- Monitor regulatory changes and assist compliance teams in implementing necessary actions.
- Provide legal input on strategic initiatives and new product development.
- Manage disputes, complaints, and litigation processes, including document preservation.
- Conduct legal research and provide actionable insights on complex legal matters.
Job Requirements
- Juris Doctor (JD) degree from an accredited law school; New York State Bar membership required.
- Minimum of 3 years of legal experience, preferably in banking or financial institutions.
- Proficiency in Microsoft Office and strong organizational skills.
- Excellent interpersonal, negotiation, and communication abilities.
- Ability to manage confidential information and multitask effectively under pressure.
- Strong collaboration skills and proactive execution of responsibilities.
- Membership in the New Jersey State Bar is a plus.
- Experience in corporate governance and compliance monitoring preferred.
