Overview

  • Lead M&A tax initiatives in a dynamic advisory firm, focusing on tax due diligence, structuring, and planning for private equity and growing businesses.
  • Collaborate with clients to manage tax obligations and optimize transaction structures, ensuring compliance and efficiency.

Key Responsibilities & Duties

  • Conduct tax due diligence, analyzing financial statements and tax returns to identify potential exposures.
  • Lead discussions with stakeholders to understand business operations and assess tax implications.
  • Develop and propose alternative transaction structures to optimize tax outcomes for clients.
  • Perform ownership shift and limitation analysis under IRC Section 382.
  • Review team deliverables for accuracy, relevance, and adherence to quality standards.
  • Collaborate with clients and advisors to address unusual tax exposures and implement effective solutions.
  • Stay updated on industry trends and legislative changes to provide informed advisory services.

Job Requirements

  • Bachelor of Science in Accounting, Taxation, or related field; advanced degrees preferred.
  • Minimum five years of experience in corporate or public accounting, with M&A tax focus.
  • Proficiency in IRC Section 382 analysis and tax structuring for transactions.
  • Strong ability to interpret complex tax legislation and provide actionable insights.
  • Experience with tax due diligence and post-deal integration processes.
  • Excellent communication and collaboration skills to engage with clients and stakeholders.
