Job Description
Overview
- Provide administrative and legal support to the Legal Department, assisting in corporate and transactional matters under the supervision of in-house counsel.
- Support document management, filings, transaction preparation, and day-to-day legal administration tasks in a global legal environment.
- Assist in the formation of new companies and maintain entity registrations and qualifications across various jurisdictions.
- Prepare and track corporate resolutions, signature packets, and UCC filings under attorney supervision.
- Provide administrative support for securities offerings and capitalization table updates, ensuring orderly documentation.
- Manage document execution workflows using electronic signature platforms and maintain contract repositories.
- Support the Legal Department with ad hoc projects and ensure professional discretion handling confidential information.
Key Responsibilities & Duties
- Assist with the administrative preparation for legal transactions, including organizing documents for closings and compiling executed transaction documents.
- Support the tracking and maintenance of corporate records, organizational charts, and entity documentation.
- Prepare and track UCC filings, including amendments and continuations, under attorney supervision.
- Provide administrative assistance for internal and external securities offerings, including compiling executed documents and maintaining records.
- Assist with processing NDAs and similar documents, including document preparation and execution workflows.
- Maintain shared legal folders and document management systems, ensuring files are complete and properly labeled.
- Provide general administrative support to the Legal Department, including ad hoc projects and tasks as needed.
Job Requirements
- Bachelor of Arts (BA) degree and paralegal certificate or equivalent legal training preferred.
- 1–3 years of experience in a legal support, paralegal, or administrative role.
- Proficiency in Microsoft Office, with strong Word skills and familiarity with electronic signature platforms.
- Interest in corporate law, transactions, and in-house legal operations.
- Strong attention to detail, organizational skills, and ability to manage deadlines effectively.
- Professional discretion and integrity when handling confidential information.
- Comfort working in a hybrid arrangement with designated in-office attendance days.
