Overview
- Support legal operations in a dynamic real estate environment, ensuring compliance and efficiency in corporate and transactional matters.
- Collaborate with attorneys to manage commercial real estate transactions from initiation to post-closing stages.
- Handle corporate governance tasks, including SEC filings, resolutions, and entity management.
- Prepare and negotiate contracts, schedules, exhibits, and confidentiality agreements.
- Organize and maintain corporate and transactional documents for efficient retrieval and management.
- Coordinate title-related matters, including searches, commitments, and policy reviews.
- Respond to KYC requests and manage entity formation and annual reporting processes.
- Contribute to a collaborative team environment, fostering growth and learning opportunities.
Key Responsibilities & Duties
- Assist attorneys in managing commercial real estate transactions, ensuring accuracy and compliance throughout the process.
- Draft, review, and organize contracts, exhibits, and schedules, maintaining detailed documentation.
- Handle corporate governance tasks, including preparing resolutions and managing SEC filings.
- Coordinate post-closing activities, ensuring proper documentation and compliance with legal standards.
- Manage entity formation, annual reports, and filings with relevant authorities.
- Conduct title searches and reviews, ensuring accuracy and completeness of title policies.
- Respond to Know Your Customer (KYC) requests, maintaining confidentiality and discretion.
- Utilize software tools like Microsoft Office, Adobe, and DocuSign for efficient workflow management.
Job Requirements
- Bachelor’s degree in Paralegal Studies or related field; Paralegal certificate required.
- Minimum of 5 years of experience in commercial real estate legal support; 10 years preferred.
- Proficiency in Microsoft Office Suite, Adobe, SharePoint, and DocuSign; familiarity with Diligent Boards is a plus.
- Strong organizational and time management skills, with the ability to prioritize tasks effectively.
- Excellent verbal and written communication skills, with professionalism and discretion.
- Understanding of legal language, principles, and research methods.
- Ability to work in a fast-paced environment, managing multiple workflows and deliverables.
