Job Description

Paralegal Overview

  • The Paralegal will support the Global Finance Group in corporate finance transactions and commercial loans.
  • Collaborate with associates and partners in a dynamic and team-oriented environment.
  • Draft and manage UCC financing statements, fixture filings, and related exhibits.
  • Research Article 9 and UCC issues to ensure legal compliance and accuracy.
  • Analyze lien search reports and prepare comprehensive lien summaries.
  • Prepare initial drafts of ancillary closing documents and organize due diligence materials.
  • Conduct and coordinate transaction closings and post-closing activities.
  • Embrace technology, including AI tools, to enhance efficiency and accuracy.
  • Eligible for one day of remote work per week, offering flexibility.

Paralegal Key Responsibilities & Duties

  • Support attorneys in corporate finance transactions, including commercial loans and securitizations.
  • Draft UCC financing statements and fixture filings, ensuring legal compliance.
  • Conduct research on UCC and Article 9 issues to provide legal insights.
  • Analyze and summarize lien search reports for transaction preparation.
  • Coordinate and monitor transaction closings and post-closing activities.
  • Prepare and distribute closing books for completed transactions.
  • Collaborate with legal teams to ensure document completeness and compliance.
  • Utilize DocuSign and other technology tools to streamline processes.
  • Perform additional duties as assigned by attorneys or the paralegal manager.

Paralegal Job Requirements

  • Bachelor’s degree with strong academic credentials required.
  • Minimum of 7 years of experience, preferably 10+, in banking or financial transactions.
  • Proficiency in UCC and Article 9 regulations and practices.
  • Paralegal Certificate from an ABA-accredited program preferred.
  • Strong communication and interpersonal skills to interact with diverse teams.
  • Experience with DocuSign and willingness to embrace AI technology.
  • Ability to work overtime when required and maintain flexibility.
  • Hands-on mentorship and guidance provided by the manager.
  • Eligible for hybrid work arrangement with one remote day per week.
