Transactional Paralegal Overview
- The Transactional Paralegal will support the legal team, focusing on corporate governance and transactional matters.
- Engage in diverse legal projects, including real estate transactions and corporate governance tasks.
- Collaborate with internal teams and external counsel to ensure seamless legal operations.
- Contribute to the preparation, review, and editing of legal documents and contracts.
- Coordinate transaction closing processes, ensuring timely and accurate documentation.
- Maintain legal department files, templates, databases, and transaction records.
- Monitor transaction timelines and follow up on outstanding items for completion.
- Support organizational document preparation, including entity formation and governance materials.
- Contribute to the firm's commitment to equity, diversity, and inclusion in all projects.
Transactional Paralegal Key Responsibilities & Duties
- Assist in drafting, reviewing, and editing legal documents, including NDAs and transaction contracts.
- Coordinate closing processes, including document execution and delivery.
- Monitor transaction timelines and ensure adherence to deadlines.
- Prepare entity formation documents, operating agreements, and governance materials.
- Maintain legal department databases, templates, and transaction documentation.
- Collaborate with external legal counsel and internal business teams.
- Support real estate transactions, including title commitment and survey reviews.
- Contribute to special legal projects and initiatives as assigned.
- Ensure compliance with corporate governance standards and practices.
Transactional Paralegal Job Requirements
- Bachelor’s degree required, preferably in a related field.
- Minimum 5–7 years of paralegal experience in corporate and transactional matters.
- Experience in real estate transactions and corporate governance preferred.
- Proficiency in managing multiple projects and prioritizing deadlines.
- Strong organizational skills and attention to detail.
- Excellent written and verbal communication skills.
- Familiarity with Corporate Services Company (CSC) preferred.
- Experience with title commitments, surveys, and zoning reports is advantageous.
- Strong sense of integrity, ethics, and adaptability to diverse audiences.
