Job Description

Corporate Paralegal Overview

  • The Corporate Paralegal will provide comprehensive legal support to corporate governance activities across multiple jurisdictions.
  • Collaborate with a dynamic legal team to ensure compliance with federal and state securities laws and regulations.
  • Support corporate transactions, including financings, mergers, and acquisitions, ensuring seamless execution.
  • Maintain and organize corporate records, including minute books, resolutions, and bylaws.
  • Conduct legal research and provide updates on corporate legal matters.
  • Coordinate governance activities for subsidiaries in the United Kingdom, Germany, and Switzerland.

Corporate Paralegal Key Responsibilities & Duties

  • Prepare and file SEC documents, including Form 8-K, 10-Q, and 10-K reports.
  • Assist with state registrations, compliance, annual reports, and business licenses.
  • Coordinate corporate governance activities across subsidiaries in multiple jurisdictions.
  • Support corporate transactions, including financings, mergers, and acquisitions.
  • Maintain corporate records, including minute books, resolutions, and bylaws.
  • Conduct legal research and provide updates on corporate legal matters.
  • Coordinate with external counsel and regulatory agencies as needed.
  • Ensure compliance with federal and state securities laws and regulations.

Corporate Paralegal Job Requirements

  • Minimum of 5-7 years of experience as a corporate paralegal in a legal department or law firm.
  • Strong knowledge of federal and state securities laws and regulations.
  • Experience managing corporate governance activities for entities in the UK, Germany, and Switzerland.
  • Paralegal certification from an accredited institution preferred.
  • Bachelor's degree in Paralegal Studies, Legal Studies, or a related field preferred.
  • Proficiency in legal research tools and software.
  • Excellent written and verbal communication skills.
  • Strong organizational skills and attention to detail.
