Corporate Governance Paralegal Overview
- The Corporate Governance Paralegal will support the client’s global corporate governance program and provide legal guidance on governance matters.
- Collaborate with senior legal team members to ensure compliance with corporate laws and regulatory requirements.
- Assist in drafting and maintaining corporate governance documentation, including resolutions, minutes, and certificates.
- Coordinate with external service providers to obtain required corporate records and certifications.
- Support entity formations, dissolutions, restructurings, and other corporate transactions.
- Prepare and maintain powers of attorney, officer appointments, and related documentation.
- Provide legal support for subsidiary governance and compliance matters, including audits and regulatory inquiries.
- Collaborate across departments on governance-related initiatives and special projects.
- Contribute to the development and enhancement of governance policies and procedures.
Corporate Governance Paralegal Key Responsibilities & Duties

Corporate Governance Paralegal Job Requirements
- Bachelor of Arts (BA) degree required; Juris Doctor (JD) preferred.
- Admission to practice law in at least one U.S. jurisdiction is preferred.
- 3-7 years of corporate governance or related legal experience.
- Experience with multinational corporate structures and subsidiary governance programs.
- Proficiency in Microsoft Office applications, including Word and Excel.
- Strong understanding of corporate governance principles and entity lifecycle management.
- Excellent drafting, analytical, and problem-solving skills.
- Highly organized and detail-oriented with strong judgment and communication skills.
- Able to manage multiple priorities in a fast-paced business environment.
