• Coordinate key aspects of fund restructurings, including virtual data rooms, fund documentation, and third-party consents.

Senior Investment Funds Paralegal Key Responsibilities & Duties

• Support fund formations and closings, including preparation of organizational and closing documentation, investor admissions, and approvals.
• Assist with GP-led and LP-led secondary transactions, coordinating transfer documentation, investor elections, and AML/KYC requirements.
• Coordinate fund restructurings, including virtual data rooms, lender notifications, and transaction requirements.
• Work closely with attorneys, clients, investors, and counterparties to facilitate fund formation and transaction processes.
• Ensure compliance with ROFR and consent processes, and manage post-closing activities.
• Maintain high-quality work standards and attention to detail across multiple complex workstreams.
• Adapt and apply legal technology tools to meet sophisticated work requirements effectively.

Senior Investment Funds Paralegal Job Requirements

• Bachelor’s degree or equivalent education required, with a paralegal certificate from an ABA-approved program preferred.
• Minimum of six years of paralegal experience, preferably within a law firm setting.
• Demonstrated expertise in fund formations, closings, and secondary transactions.
• Proficiency in legal technology, research tools, and firm systems.
• Strong attention to detail and ability to produce high-quality work independently.
• Ability to handle sensitive and confidential information with discretion.
• Experience with AML/KYC compliance and fund restructuring processes.
