General Counsel Overview

• The General Counsel will oversee legal matters, focusing on contract management, compliance, and Master Service Agreement (MSA) review and negotiation.
• Collaborate with executive leadership and business teams to mitigate legal risks and ensure regulatory compliance.
• Provide strategic legal solutions to align with business objectives and support revenue growth.
• Review and negotiate complex commercial agreements, emphasizing risk assessment and mitigation strategies.
• Develop and oversee corporate compliance programs tailored to the energy sector or regulated industries.
• Serve as a trusted advisor on legal matters, contractual obligations, and regulatory developments.
• Manage contract lifecycle processes, including review, approval, execution, renewal, and compliance monitoring.
• Coordinate with external legal counsel on specialized regulatory matters and complex transactions.

General Counsel Key Responsibilities & Duties

• Review, draft, and negotiate commercial agreements, focusing on MSAs, vendor contracts, and service agreements.
• Evaluate contractual terms, including indemnification, liability limitations, insurance requirements, and dispute resolution provisions.
• Ensure compliance with applicable laws, regulations, and internal risk management standards.
• Identify and mitigate legal, financial, and operational risks within contracts.
• Develop and maintain compliance policies and procedures relevant to the company's operations.
• Partner with various departments to facilitate contract approvals and resolve contractual issues.
• Advise senior leadership on legal matters affecting company operations and business risks.
• Assist with dispute resolution, claims, and negotiations to minimize exposure.

General Counsel Job Requirements

• Juris Doctor (JD) from an accredited law school and active legal license in the U.S.
• Minimum of 5 years of experience in commercial contract review and negotiation.
• Preferred 10 years of experience in legal advisory roles within regulated industries.
• Strong understanding of contractual risk allocation, indemnification, and compliance obligations.
• Proven ability to develop corporate compliance programs and internal policies.
• Experience in the energy sector, utilities, oil, gas, or engineering industries is preferred.
• Excellent negotiation, analytical, and organizational skills.
• Ability to balance legal risk management with commercial priorities and revenue objectives.
