Job Description
Title: Senior Paralegal
Responsibilities
- Partner with the corporate legal team to manage governance documentation and maintain accurate corporate records for domestic and international subsidiaries
- Draft and coordinate resolutions, board materials, and subsidiary filings, while maintaining minute books and corporate calendars
- Conduct legal research and benchmarking on regulatory, governance, and securities matters
- Support legal due diligence and documentation for mergers, acquisitions, and financing activities
- Assist with the administration of governance-related policies, including insider trading compliance and 10b5-1 plans
- Coordinate with legal leadership to support stock exchange listing requirements, including annual attestations and inquiry responses
- Serve as backup support for board governance tasks, including D&O compliance and filings
- Provide occasional administrative and transactional support across legal operations
Qualifications
- 7–10 years of paralegal experience supporting corporate legal departments or law firms, with a focus on public company governance
- Demonstrated ability to manage corporate governance records, handle board documentation, and ensure compliance with listing standards
- Strong interpersonal and professional communication skills, including with board members and external counsel
- Exceptional organization, accuracy, and research skills
- Proficiency in Microsoft Office Suite (Excel, Word, PowerPoint, Outlook, Teams), and experience with platforms such as Diligent, Workiva, and Agiloft preferred
- Paralegal certificate preferred
- Proven ability to manage multiple priorities and support cross-functional initiatives
