Job Description

Overview

  • Provide comprehensive legal assistant support to attorneys specializing in alternative investments.
  • Assist in research, document preparation, and due diligence organization.
  • Maintain and update transaction tracking systems and timelines.
  • Prepare and distribute signature packets and draft correspondence.
  • Support corporate formation processes and compliance requirements.
  • Assist with legal document proofreading and EDGAR filing processes.
  • Prepare responses to auditor requests and maintain case contact information.
  • Collaborate on closings and prepare electronic and paper closing binders.
  • Ensure compliance with UCC regulations and oversee lien searches.

Key Responsibilities & Duties

  • Conduct research and compile information for legal proceedings.
  • Maintain and update working group lists and due diligence documents.
  • Draft and proofread legal documents and correspondence.
  • Prepare and file Uniform Commercial Code (UCC) documents.
  • Assist in the formation and maintenance of corporations and LLCs.
  • Organize and manage transaction deliverables and timelines.
  • Support notary authentication and apostilling processes.
  • Prepare auditor responses and maintain case contact databases.
  • Collaborate on closings and manage document databases.

Job Requirements

  • Bachelor of Arts (BA) degree required.
  • Minimum of 1 year of relevant experience; 2 years preferred.
  • Proficiency in Microsoft Office and Adobe Acrobat.
  • Strong organizational and multitasking abilities.
  • Excellent written and oral communication skills.
  • Attention to detail and critical thinking skills.
  • Flexibility to work overtime as needed.
  • Ability to become a notary public within 6 months of employment.
  • Available to work on-site as required.
