Job Description

Title: Senior Corporate Paralegal

Responsibilities

  • Handle entity formations and ongoing recordkeeping for clients, including preparing organizational documents and maintaining digital corporate records.
  • Administer equity tracking systems and manage detailed capitalization tables.
  • Facilitate venture financings, including managing transaction logistics and coordinating required filings.
  • Support due diligence and documentation throughout the lifecycle of M&A transactions, including compiling data rooms, reviewing corporate records, and coordinating closings.
  • Assist with regulatory and compliance documentation related to public offerings and secondary transactions.
  • Draft and finalize legal documents, coordinate multi-party signatures, and maintain organized archives of completed deals.
  • Serve as a reliable liaison between attorneys, clients, and external contacts involved in corporate and securities transactions.

Qualifications

  • Minimum 5 years of experience in corporate or transactional law, ideally in a large firm or high-volume legal team.
  • Expertise in managing equity plans and tracking ownership stakes.
  • Familiarity with M&A processes and handling transactional documentation and diligence materials.
  • Strong command of Excel; working experience with equity management tools like Carta or Shareworks preferred.
  • Bachelor’s degree and/or ABA-approved paralegal certification.
  • Demonstrated ability to manage competing priorities in a fast-paced, deadline-sensitive environment.
