Overview
- Support attorneys in executing complex commercial real estate transactions with precision and efficiency.
- Coordinate and organize transaction documents, ensuring seamless workflow and compliance.
- Prepare and manage signature pages, closing binders, and due diligence materials.
- Conduct entity searches and prepare formation documents, resolutions, and notices.
- Order and review lien searches and corporate organizational documents for accuracy.
- Collaborate with title companies, clients, and government agencies to ensure transaction success.
- Assist in closings, including document preparation and coordination tasks.
- Maintain meticulous databases and files to support efficient operations.
- Contribute to process improvement initiatives within the department.
Key Responsibilities & Duties
- Prepare and interpret transaction documents for commercial real estate matters.
- Organize and review due diligence materials and transaction files.
- Coordinate and finalize closing documents, ensuring accuracy and completeness.
- Conduct entity searches and prepare legal formation documents as required.
- Order and review lien searches and corporate organizational documents.
- Prepare and file UCC financing statements and other legal documents.
- Communicate with external parties to facilitate document delivery and clarifications.
- Train team members and coordinate tasks to ensure operational efficiency.
- Engage in professional development programs and contribute to firm-wide initiatives.
Job Requirements
- Bachelor’s Degree in a relevant field is preferred.
- Minimum of 10 years of commercial real estate paralegal experience.
- Proficiency in MS Office Suite, NYC ACRIS, and legal billing processes.
- Strong organizational skills for managing transaction documents and databases.
- Ability to prepare and file UCC financing statements and legal documents.
- Experience in coordinating closings and preparing closing binders.
- Excellent communication skills for interacting with clients and external parties.
- New York Notary certification is required.
- Willingness to work overtime and travel as needed.
