Job Description

Overview

  • Play a pivotal role in supporting corporate legal operations and governance excellence within a dynamic organization.
  • Assist in preparing and managing SEC filings, corporate reports, and regulatory disclosures to ensure compliance.
  • Coordinate board meetings, shareholder communications, and corporate press releases effectively and professionally.
  • Engage in reviewing employment agreements, vendor contracts, and intellectual property matters.
  • Collaborate with international affiliates to ensure policy adherence and effective communication.
  • Support strategic transactions, securities offerings, and litigation matters with precision and efficiency.
  • Maintain and organize document management and recordkeeping systems to ensure accessibility and accuracy.

Key Responsibilities & Duties

  • Draft, prepare, and review SEC filings, ensuring compliance and accuracy in all submissions.
  • Manage stock ownership tracking for officers and directors, including Section 16 forms.
  • Coordinate board and committee meetings, including agenda preparation and attendance documentation.
  • Assist in corporate governance and compliance activities, liaising with regulatory representatives.
  • Support earnings releases, conference calls, and analyst interactions with legal oversight.
  • Review and analyze commercial contracts and employment agreements for legal consistency.
  • Contribute to internal reorganizations and strategic corporate initiatives effectively.
  • Manage corporate compliance policies and intellectual property matters with diligence.

Job Requirements

  • Bachelor’s degree in legal studies or related fields is required.
  • 1-3 years of corporate legal experience preferred, showcasing relevant expertise.
  • Proficiency in Microsoft Office Suite and adaptability to new software systems.
  • Strong analytical skills with attention to detail and excellent drafting abilities.
  • Ability to multitask and exercise independent judgment effectively in a dynamic environment.
  • Experience in global organizations and international collaboration is advantageous.
  • Demonstrated inclusive behaviors and cultural sensitivity in diverse environments.
