Overview

  • Support corporate attorneys with transactional work and governance matters in a hybrid work environment.
  • Contribute to the success of a leading law firm by providing essential paralegal services.
  • Engage in drafting, reviewing, and coordinating execution of corporate documents.
  • Assist with legal filings and retrieval of documents from government agencies.
  • Research and analyze public records databases to support legal processes.
  • Work collaboratively with attorneys and administrative staff in a dynamic team environment.

Key Responsibilities & Duties

  • Organize and review diligence materials for corporate transactions.
  • Maintain minute books, stock records, and stockholder files.
  • Draft incorporation documents, UCC filings, and board/stockholder consents.
  • Coordinate legal filings with state and federal agencies.
  • Prepare and compile signature packages and closing sets for transactions.
  • Research and analyze public records databases for legal matters.
  • Track billable time and ensure accurate documentation of work.
  • Provide proactive support to attorneys and administrative staff.

Job Requirements

  • Bachelor's degree with a strong academic background required.
  • Paralegal Certificate preferred for enhanced qualifications.
  • Minimum of 3 years of experience as a Corporate Paralegal in a law firm.
  • Proficiency in drafting legal documents and coordinating execution processes.
  • Exceptional organizational skills and attention to detail.
  • Strong analytical and problem-solving capabilities.
  • Proficiency in Microsoft Suite, Adobe, DocuSign, and online datasites.
  • Ability to work overtime and travel as needed.
