Overview
- Serve as a Corporate Governance Specialist in a dynamic corporate legal environment, contributing to governance and compliance initiatives.
- Prepare and manage board meeting materials, resolutions, and communications with senior management and board members.
- Maintain corporate records, organizational charts, and essential governance tools and platforms.
- Draft and oversee documentation for company formations, mergers, reorganizations, and foreign qualifications.
- Collaborate with internal departments such as Tax, Finance, Treasury, and Internal Audit on governance matters.
- Support regulatory filings, beneficial ownership transparency, and due diligence for acquisitions and transactions.
- Utilize AI tools to enhance efficiency and monitor best practices in corporate governance.
- Conduct online legal and fact research to support corporate legal initiatives.
- Provide administrative support including scheduling, proofreading, and payment processing as needed.
Key Responsibilities & Duties
- Prepare board and committee meeting materials, resolutions, and communications with attendees.
- Manage essential governance tools, including corporate registers and closing document repositories.
- Draft and oversee documentation for corporate formations, mergers, and reorganizations.
- Maintain corporate records and organizational charts, ensuring accuracy and compliance.
- Respond to domestic and international compliance requests and filings.
- Support regulatory filings, including Hart-Scott-Rodino and FCC submissions.
- Assist in due diligence and documentation for acquisitions and corporate transactions.
- Monitor and implement best practices in corporate governance using AI tools.
- Provide administrative support for scheduling, proofreading, and payment processing.
Job Requirements
- Bachelor's degree required; ABA-approved paralegal certificate preferred.
- Minimum of 8 years of experience in corporate legal or governance roles.
- Proficiency in Microsoft Office, Adobe Acrobat, and online research tools; SharePoint experience preferred.
- Strong organizational skills, attention to detail, and ability to manage multiple projects under deadlines.
- Excellent written and oral communication skills; ability to work independently and collaboratively.
