Corporate & Real Estate Paralegal Overview
- The Corporate & Real Estate Paralegal will support legal professionals in corporate and real estate matters.
- Assist in forming business entities, including LLCs, corporations, and partnerships.
- Prepare initial drafts of organizational documents and resolutions.
- Conduct lien and litigation searches to support transaction due diligence.
- Organize and track deal documents for corporate and real estate transactions.
- Analyze title documents, surveys, and property-related materials.
- Draft ancillary closing and transactional documents, such as certificates and assignments.
- Prepare closing binders for mergers, acquisitions, and real estate transactions.
- Facilitate communication between transaction parties, including lenders and title companies.
Corporate & Real Estate Paralegal Key Responsibilities & Duties
- Support corporate and real estate practice groups under attorney supervision.
- Form business entities in Delaware and New York.
- Draft organizational documents and entity resolutions using firm templates.
- Conduct due diligence, including lien and litigation searches.
- Organize and track documents for transactions from inception to closing.
- Analyze property-related documents, such as title documents and surveys.
- Draft closing documents, such as certificates and bills of sale.
- Prepare comprehensive closing binders for completed transactions.
- Communicate effectively with clients and transaction parties.
Corporate & Real Estate Paralegal Job Requirements
- Bachelor’s degree from an accredited institution.
- 1-3 years of paralegal experience in a law firm or legal department.
- Strong organizational and multitasking skills with attention to detail.
- Excellent communication and collaboration abilities.
- Ability to follow complex instructions with accuracy and accountability.
- Experience with corporate and real estate transactions is preferred.
- Proficiency in Microsoft Office Suite and legal research tools.
