Job Description

Attorney – Corporate Governance Overview

  • The Attorney – Corporate Governance will support and enhance the client's global corporate governance program.
  • Provide legal guidance on corporate governance matters for domestic and international subsidiaries.
  • Collaborate with senior legal team members to ensure compliance with corporate laws and regulatory obligations.
  • Contribute to strategic corporate initiatives and governance-related projects.
  • Draft and maintain corporate governance documentation, including resolutions, meeting minutes, and governing documents.
  • Assist in the development and implementation of corporate governance policies and procedures.
  • Support entity formations, restructurings, and other corporate transactions.
  • Work in a hybrid environment, combining remote and on-site collaboration.

Attorney – Corporate Governance Key Responsibilities & Duties

  • Draft, review, and maintain corporate governance documentation, including resolutions, minutes, and certificates.
  • Advise on corporate governance matters for U.S. and international entities.
  • Prepare and maintain powers of attorney, officer appointments, and related documentation.
  • Coordinate with external service providers for corporate records and certifications.
  • Enhance corporate governance policies in response to regulatory changes.
  • Support entity formations, dissolutions, and restructurings while maintaining records.
  • Lead preparation and execution of board and committee meetings.
  • Collaborate with internal teams on governance-related initiatives and special projects.

Attorney – Corporate Governance Job Requirements

  • Juris Doctor (JD) degree and admission to practice law in at least one U.S. jurisdiction.
  • 3-7 years of corporate governance or related legal experience, preferably in a law firm or in-house.
  • Experience with multinational corporate structures and subsidiary governance programs.
  • Strong understanding of corporate governance principles and entity lifecycle management.
  • Proficiency in Microsoft Office applications, including Word and Excel.
  • Highly organized and detail-oriented with excellent judgment and communication skills.
  • Ability to manage multiple priorities in a fast-paced environment.
