Private Equity Finance Paralegal Overview

  • The Private Equity Finance Paralegal supports attorneys in complex private equity finance transactions, leveraging expertise in legal procedures and transaction logistics.
  • Coordinate transaction logistics, including maintaining checklists, execution processes, closing logistics, and post-closing deliverables.
  • Collaborate with attorneys, clients, and transaction participants to ensure seamless execution of financing transactions.

Private Equity Finance Paralegal Key Responsibilities & Duties

  • Organize and maintain transaction documents, due diligence materials, and corporate records following firm standards.
  • Coordinate UCC, lien, litigation, and corporate searches; review results for accuracy and completeness.
  • Prepare and file UCC financing statements, amendments, continuations, terminations, and related filings.
  • Manage the preparation, execution, and organization of ancillary transaction documents and closing materials.
  • Track transaction timelines, closing conditions, and key deliverables to ensure timely execution.
  • Review transaction materials for accuracy, completeness, and compliance with applicable requirements.
  • Provide guidance and support to junior paralegals, assisting with onboarding and training.
  • Protect and maintain sensitive, confidential, and proprietary information in all aspects of work.

Private Equity Finance Paralegal Job Requirements

  • Bachelor’s degree or equivalent required; paralegal certificate from an ABA-approved program preferred.
  • Minimum of four years of paralegal experience, preferably in a law firm setting.
  • Advanced proficiency in Microsoft Word, Excel, Outlook, and document management systems.
  • Strong organizational skills to manage complex workflows and prioritize tasks effectively.
  • Attention to detail and accuracy in reviewing work products and ensuring compliance with standards.
  • Ability to work independently and make effective prioritization decisions in a fast-paced environment.
  • Commitment to maintaining confidentiality and handling sensitive information responsibly.
